1. Agreement & Acceptance
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you") and DigiTech Solutions ("we", "us", "our"), a digital services business based in Beaumont, Alberta, Canada.
By submitting our contact form, engaging our services, or paying a deposit, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use our services.
These Terms apply to all services provided by DigiTech Solutions including website design, Google Ads management, SEO retainers, email marketing setup, logo design, Google Business Profile optimization, and website maintenance.
2. Services
DigiTech Solutions will provide the services agreed upon in a written proposal, invoice, or email confirmation. The specific scope, deliverables, timeline, and pricing for each project will be outlined prior to commencement of work.
We reserve the right to decline any project at our discretion, including projects that conflict with our values or applicable law.
Note: Quoted timelines (e.g. "7-day delivery") begin from the date we receive your deposit and all required content, information, and onboarding details. Delays caused by the Client in providing required materials will extend timelines accordingly.
3. Payment Terms
The following payment terms apply to all projects unless otherwise agreed in writing:
- Deposit: 50% of the total project fee is due before work begins. No work will commence until the deposit is received.
- Final payment: The remaining 50% is due upon delivery of the completed project, before the site goes live or files are transferred.
- Monthly retainers: Billed at the start of each month. Payment is due within 7 days of invoice date.
- Late payments: Invoices unpaid after 14 days may incur a late fee of 2% per month on the outstanding balance. We reserve the right to pause or suspend services for accounts 30+ days overdue.
- Accepted payment methods: E-Transfer, credit card, or bank transfer. All amounts are in Canadian dollars (CAD) unless otherwise specified.
4. Revisions & Scope
Each project includes one (1) round of revisions after the initial delivery, unless a different number is specified in the project proposal. A "revision" means reasonable changes to the existing design or content — it does not mean a complete redesign or scope change.
- Additional revision rounds beyond the included allowance are billed at $75 CAD per hour.
- Requests for features or pages not included in the original scope will be quoted separately and treated as a new project or add-on.
- Revision requests must be submitted within 14 days of delivery. After this period, the project is considered accepted and approved.
5. Client Responsibilities
To ensure timely and successful delivery, the Client agrees to:
- Provide all required content (text, images, logos, brand assets) within 5 business days of project kickoff
- Respond to questions, requests for feedback, and revision approvals within 5 business days
- Ensure all content provided does not infringe on third-party intellectual property, copyright, or applicable law
- Provide accurate business information (name, address, phone, hours, services) for use on the website
- Maintain any third-party accounts required for service delivery (e.g., Google account, domain registrar login) and provide necessary access credentials
DigiTech Solutions is not responsible for delays caused by Client's failure to meet these responsibilities.
6. Intellectual Property & Ownership
Upon receipt of full payment, the Client owns all final deliverables including the website design, copy, and source files provided. Before full payment is received, all work remains the intellectual property of DigiTech Solutions.
- Stock images: Any stock photography used (e.g., from Unsplash) is provided under free or licensed terms. The Client is responsible for upgrading to commercial licenses if required for their specific use case.
- Third-party tools: Software, plugins, or platforms used in project delivery (e.g., Google Analytics, Formspree) are subject to their own terms of service and licensing.
- Portfolio rights: DigiTech Solutions retains the right to display completed work in our portfolio and marketing materials unless the Client requests otherwise in writing.
- DigiTech Solutions branding: We may include a small "Built by DigiTech Solutions" credit in the footer of websites we build. This can be removed upon request.
7. Monthly Retainers & Cancellation
Monthly service agreements (maintenance plans, SEO retainers, Google Ads management) are provided on a month-to-month basis with the following terms:
- Cancellation notice: Either party may cancel a monthly retainer with 30 days' written notice via email to hello@digitechsolutions.ca.
- No partial refunds: Monthly fees already paid are non-refundable. Services will continue until the end of the paid period.
- Immediate termination: We reserve the right to immediately terminate services for non-payment, abusive conduct, or use of our services for illegal purposes.
- Data and access: Upon cancellation, we will transfer all files, credentials, and access within 7 business days.
8. Google Ads Management
For Google Ads management services specifically:
- The Client's ad spend budget is separate from and in addition to DigiTech Solutions' management fee. Ad spend is paid directly by the Client to Google.
- DigiTech Solutions does not guarantee specific ad performance metrics (clicks, impressions, conversions) as these are influenced by market conditions, competition, budget, and other factors outside our control.
- The Client must maintain an active Google Ads account and provide billing access. We are not responsible for account suspensions caused by Google's policies or the Client's past activity.
- Minimum recommended monthly ad spend is $300 CAD to achieve meaningful results.
9. SEO Services
For SEO retainer services:
- DigiTech Solutions does not guarantee specific search engine rankings. SEO results depend on competition, search engine algorithm changes, content quality, and other factors.
- We follow white-hat SEO practices only. We will not use techniques that violate Google's Webmaster Guidelines.
- SEO results typically take 3–6 months to become measurable. Clients should not expect immediate ranking improvements.
- We provide monthly reports showing keyword positions, organic traffic trends, and work completed.
10. Warranties & Disclaimers
DigiTech Solutions warrants that:
- Services will be performed in a professional and workmanlike manner
- Websites delivered will function correctly in modern browsers (Chrome, Firefox, Safari, Edge) at time of delivery
- We will not knowingly incorporate content that infringes third-party intellectual property
DigiTech Solutions does not warrant that:
- Websites will be free from all bugs after the Client makes modifications
- Third-party tools, plugins, or platforms will remain available or function without interruption
- SEO or Google Ads services will achieve specific ranking or revenue outcomes
- The website will generate a specific number of leads or sales
11. Limitation of Liability
To the maximum extent permitted by applicable Canadian law, DigiTech Solutions' total liability to the Client for any claim arising from or related to our services shall not exceed the total fees paid by the Client for the specific project or service giving rise to the claim in the 3 months preceding the claim.
DigiTech Solutions shall not be liable for any:
- Loss of revenue, profits, or business opportunities
- Loss of data or corruption of data
- Indirect, incidental, special, or consequential damages
- Damages resulting from third-party service failures (hosting, Google, Formspree, etc.)
- Damages resulting from the Client's own modifications to delivered work
12. Indemnification
The Client agrees to indemnify and hold harmless DigiTech Solutions and its personnel from any claims, damages, losses, or expenses (including legal fees) arising from:
- Content provided by the Client that infringes third-party rights or violates applicable law
- The Client's use of the delivered website or services in a manner not intended or contrary to these Terms
- Inaccurate or misleading information provided by the Client for use on their website
13. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive business information disclosed during the service relationship. DigiTech Solutions will not share your business strategies, pricing, customer data, or other confidential information with third parties without your consent, except as required by law.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Province of Alberta, Canada, without regard to conflict of law principles. Any dispute arising from these Terms or our services shall be resolved as follows:
- Good faith negotiation: The parties will first attempt to resolve any dispute informally by written notice and good-faith discussion within 30 days.
- Mediation: If negotiation fails, the parties agree to attempt mediation through a mutually agreed mediator before pursuing litigation.
- Jurisdiction: If legal action is necessary, it shall be brought in the courts of Alberta, Canada, and both parties consent to that jurisdiction.
15. Changes to These Terms
DigiTech Solutions reserves the right to update these Terms at any time. Changes will be posted on this page with an updated effective date. For active clients, significant changes will be communicated by email with 14 days' notice. Continued use of our services after changes constitutes acceptance of the updated Terms.
